Committee Approves Bill to Help PA Businesses
Today the Senate Judiciary Committee, chaired by Senator Stewart
Greenleaf, approved legislation which will improve the State's business climate
by making Pennsylvania's business law more competitive with other states.
Senate Bill 884, sponsored by Senator Greenleaf, makes changes
in the Business Corporation Law so that businesses may make better use of
electronic communications technology to provide notice of meetings, granting of
proxies and acting by consent without a meeting.
The legislation also continues the codification of the Nonprofit
Corporation Law so that the provisions relating to electronic communications in
the Business Corporation Law and the Nonprofit Corporation Law are the same.
Senator Greenleaf commented, "This legislation is important for
businesses so that the law governing for-profit and not-for-profit organizations
will be an internally consistent body of statutory law."
Senate Bill 884 is a continuation of the work of the Title 15
Task Force of the Pennsylvania Bar Association. Senator Greenleaf has worked
closely with the task force on Senate Bill 884 and other business law
legislation.
